Terms and conditions governing EduImply School & College ERP software subscription, cloud hosting, and support agreements.
Welcome to Codeslure Digital Solutions. These Terms and Conditions govern your use of our website, software products, web and mobile application development services, and digital marketing solutions.
1. Services & Project Scope
Codeslure Digital Solutions agrees to provide custom software development, mobile app development (iOS & Android), website design, UI/UX design, SEO, and digital marketing services according to the scope of work detailed in individual project proposals or service agreements.
2. Client Obligations & Approvals
Clients are required to provide timely access to necessary assets, content, feedback, and approvals required for project execution. Any change requests or delays in client approval may impact project delivery timelines and additional milestone charges.
3. Intellectual Property Rights
Upon receipt of 100% full payment for all completed invoices, the client retains full ownership of the final source code, custom graphics, and software deliverables created specifically for their project. Codeslure Digital Solutions reserves the right to showcase non-confidential project case studies in our public portfolio unless protected by a signed Non-Disclosure Agreement (NDA).
4. Payment Terms & Invoicing
Unless agreed otherwise in writing:
- Project payments are broken down into agreed milestone stages (e.g., initial deposit, design sign-off, development completion, and final deployment).
- Invoices are payable within 7 business days from issuance. Late payments may result in temporary suspension of project development or hosting services.
5. Warranties & Support
We provide a standard 30-day post-launch warranty on custom web & mobile app development to fix any bugs or technical issues resulting from our source code. Post-warranty maintenance, server management, and feature enhancements are covered under separate Annual Maintenance Contracts (AMC).
6. Limitation of Liability
Codeslure Digital Solutions shall not be liable for any indirect, incidental, or consequential damages resulting from third-party server downtime, domain expirations, external API failures, or unauthorized third-party access to client infrastructure beyond our direct control.

EduImply ERP Platform Terms of Service & Licensing
These Terms and Conditions govern the subscription, access, and usage of the EduImply School & College Management ERP platform. By subscribing to EduImply, educational institutions enter into a service agreement granting authorized administrative staff, teachers, students, and parents access to our cloud software and mobile apps.
Software Availability & Cloud Uptime Guarantee
EduImply strives to maintain 99.9% service availability for cloud portals and mobile applications. Scheduled system maintenance is conducted during non-operational hours with advance notification provided to institution administrators.
Subscription Billing & Service Continuity
ERP software subscriptions are billed annually or bi-annually based on total active student strength and selected software modules. Timely renewal ensures continuous cloud hosting, security patches, regular feature updates, and technical support.
